Legal Agreement

Please review the OpenLogic Expert Community Agreement. If you are accepted to the OpenLogic Expert Community, you will be asked to read and accept the agreement.

OpenLogic Expert Community Membership Agreement
	
Thank you for your interest in OpenLogic's Expert Community. OpenLogic would like to invite you to join the OpenLogic Expert Community. One of the requirements for membership in the Expert Community is your agreement to the terms of this Expert Community Membership Agreement. It is important that you carefully read this Agreement. By clicking on the "I Accept" button below, you agree that you have read and understand this Agreement, have the right to enter into this Agreement, and agree to be bound by the terms of this Agreement.

1. Term and Duration. This Agreement and your membership in the Expert Community are effective when you click on the "I Accept" button. You may terminate this Agreement and your membership in the Expert Community at any time by notifying OpenLogic in writing. OpenLogic reserves the right to terminate this Agreement and your membership in the Expert Community at any time, for any reason. Termination of this Agreement and your membership in the Expert Community for any reason will require you to return code or other materials provided to you by OpenLogic as part of your membership. The provisions of Sections 4, 5, 6, and 7 will survive the termination of this Agreement or your membership for any reason.

2. Assignments. Assignments may be bugs, errors, problems or other issues associated with open source projects. OpenLogic will post assignments on the Expert Community website located at www.openlogic.com/community/. Assignments listed on the Expert Community website will include requirements for completing the assignment, including guidelines, deliverables, timelines and other details regarding the assignment. You may apply to complete assignments through the Expert Community website. OpenLogic shall, at its discretion, determine which Expert Community member(s) it will select to complete each assignment. If your offer to complete an assignment is accepted, you will use your reasonable best efforts to complete the assignment in a timely manner according to the requirements provided by OpenLogic. Upon completion (or when requested by OpenLogic), you agree to promptly provide to OpenLogic a copy of any source code or other materials you develop as part of any assignment. OpenLogic will, in its sole discretion, assess the completion and success of each assignment. You agree to remain in communication with OpenLogic and the Expert Community regarding your ongoing and completed assignments. You agree that, after being accepted for an assignment by OpenLogic, your name and related information may be provided to OpenLogic customers.

3. Compensation. Unless otherwise covered in a separate written Addendum to this Agreement, your compensation for completing an assignment will be listed on the Expert Community website when you apply for the assignment. Compensation is subject to change by OpenLogic and any changes shall be effective when posted to the Expert Community website or provided to you via email. You are responsible for any and all taxes due on any compensation received from OpenLogic.

4. Confidentiality. OpenLogic's confidential information includes the terms and subject matter of this Agreement and the Expert Community, including details regarding any OpenLogic software or customers, any assignments, and any compensation you receive from OpenLogic. You agree not to disclose OpenLogic's confidential information. This obligation will not apply if any of OpenLogic's Confidential Information has, through no fault of you, become generally available to the public; or if such disclosure is necessary for the enforcement of rights under this Agreement; or as required by law. Your identity and participation in the Expert Community will be shared with OpenLogic customers and potential customers.

5. Rights in Contributions.  Subject to the terms of this Section 5, you will retain the right to use the source code and other materials developed or provided to OpenLogic as part of any assignment for your own purposes, including returning your contribution, in your name, to the open source community. It is OpenLogic's preference that you submit source code changes to the community. You agree to inform OpenLogic of any preexisting agreements under which you have assigned or granted any rights in the source code or other materials you develop or provide as part of any assignment to any third party (for example, any agreement with your employer or with an organization representing an open source project).  In addition, subject to the assignments and grants you have made in any preexisting agreements, you agree to and hereby do assign to OpenLogic joint ownership in any and all worldwide copyrights, moral rights and other proprietary and intellectual property rights in the source code or other materials you develop or provide as part of any assignment. To the extent you are not able to make such an assignment to OpenLogic because of a preexisting agreement, then to the extent you have rights to do so, you grant OpenLogic a perpetual, irrevocable, non-exclusive, royalty-free right and license to utilize the source code and other materials you develop or provide as part of any assignment in any form or manner as OpenLogic sees fit (for example, to support OpenLogic customers and to make sure the source code and other materials are submitted to the open source community).   You agree that you are legally entitled to grant these rights, and agree not to provide any contribution to OpenLogic that violates any law or breaches any other contract.

6. Disclaimer and Liability. Except for the commitments you are making in this Agreement, you are providing the contributions "as is" without any warranty, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Unless otherwise required by applicable law, in no event will OpenLogic be liable to you for any damages, including any general, special, indirect, incidental or consequential damages, arising out of any assignment, your membership in the Expert Community, or otherwise under this Agreement, even if advised of such damages.

7. General Matters. You are an independent contractor (not an employee) of OpenLogic. All personal information provided by you at the request of OpenLogic is true, complete, and accurate. This Agreement is the complete and exclusive statement of the agreement between you and OpenLogic. You may not assign, delegate or otherwise transfer this Agreement or any of your rights or obligations under this Agreement without the prior written consent of OpenLogic. This Agreement will be governed by the laws of the State of Colorado without regard to conflicts of law principles. All disputes arising under this Agreement must be brought in the state or federal courts located in Denver, Colorado. Each party irrevocably consents to the jurisdiction and venue of any such court in any such action or proceeding. This Agreement may not be modified except upon mutual written agreement of both parties. You may not assign or delegate any of your rights or obligations under this Agreement. The waiver by either party of a breach of any provision of this Agreement will not operate or be interpreted as a waiver of any other or subsequent breach. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect. This Agreement includes any Addendums you enter into with OpenLogic, and is the complete agreement between OpenLogic and you regarding your participation in the Expert Community.

Addendum:  Expert Community Publicity Release

In order for OpenLogic to promote the OpenLogic Expert Community to customers of OpenLogic and to the open source community at large, OpenLogic would like to make use of your name and your participation in the Expert Community in our advertising, marketing and publicity campaigns.  Please read this Expert Community Publicity Release carefully.  By signing the Release, you are giving OpenLogic permission to make commercial use of your name and your participation in the Expert Community as specified in this Release. 
 
1. I authorize OpenLogic to use my name[, the information that I have provided to OpenLogic about myself], and my participation in the Expert Community, without further compensation or permission, in OpenLogic's advertising, marketing and publicity materials.

2. I agree to indemnify and hold harmless OpenLogic, its licensees, agents, successors and assigns from any and all claims and liability for damages, losses, or expenses that may arise from claims with respect to my right to privacy or publicity.

3. I have read and understand this Release, and have the legal right enter into this Release.  
This Release will be an Addendum to the Expert Community Membership Agreement that I have entered into with OpenLogic and will be subject to the terms of the Agreement.  If a conflict arises between the terms of this Release and the Agreement, the terms of this Release will control.
